These Terms & Conditions (the "Terms") form a legally binding agreement between you ("User", "you" or "your") and Amplifier AI Corp., having its registered office at 101 Jefferson Dr, Menlo Park, CA 94025 ("Amplifier AI", "Company", "we", "us" or "our"). By accessing or using any website, application, product or service that links to or references these Terms (collectively, the "Service"), you acknowledge that you have read, understood and agree to be bound by them. If you do not accept these Terms, do not access or use the Service. These Terms incorporate by reference our Privacy Policy and any other documents or policies expressly referenced herein.
1. Definitions
Unless the context requires otherwise, capitalised terms used in these Terms have the meanings set out below.
- "Account" – a unique account created for you to access or use the Service.
- "Content" – any text, graphics, images, audio, video, data, code or other materials made available through the Service, including User Content and Company Content.
- "Device" – any computer, mobile phone, tablet, headset or other hardware capable of accessing the Service.
- "Company Content" – any Content that is owned, created or licensed by Amplifier AI (other than User Content).
2. Acceptance of Terms
Your use of the Service is conditioned on your full acceptance of and compliance with these Terms and all applicable laws. You may use the Service only if you have the legal capacity to form a binding contract with Amplifier AI and are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind such an entity to these Terms; in that case, "you" and "your" refer to that entity.
3. Changes to Terms
We may revise these Terms from time to time in our sole discretion. If a revision is material we will use reasonable efforts (e.g., email or in‑Service notice) to give at least 30 days' advance notice before the revised Terms take effect. All changes are effective when posted. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
4. Accounts and Security
To use certain features you must create an Account and provide accurate, complete and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us immediately of any unauthorised use of your Account or other security breach. Amplifier AI is not liable for any loss or damage arising from your failure to safeguard credentials.
5. Licence and Proprietary Rights
Subject to your compliance with these Terms, Amplifier AI grants you a limited, revocable, non‑exclusive, non‑transferable and non‑sublicensable licence to access and use the Service for its intended purposes. Except for the limited licence expressly granted, no rights are granted to you by implication or otherwise in or to the Service or Company Content.
All Company Content and all trademarks, service marks, logos and domain names displayed on or in the Service are the proprietary property of Amplifier AI or its licensors. Unauthorised use is strictly prohibited.
6. Acceptable Use
You agree that you will not directly or indirectly:
- Copy, reproduce, modify, adapt, translate, publish, transmit, distribute, perform, display or sell any part of the Service or Company Content except as expressly permitted.
- Reverse‑engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying algorithms of any software that is part of the Service, except to the limited extent such activity is expressly permitted by applicable law notwithstanding this limitation.
- Bypass, disable or interfere with security‑related or access‑control features of the Service.
- Upload or transmit any viruses, worms, malware, Trojan horses, logic bombs or other destructive code.
- Use the Service to develop or train any artificial‑intelligence system competing with Amplifier AI, or to harvest data from the Service for machine‑learning or data‑extraction purposes, except as expressly authorised in writing.
- Infringe or violate the intellectual‑property rights, privacy rights or other rights of any third party.
- Engage in any fraudulent, deceptive or unlawful activity, or otherwise use the Service in a manner prohibited by law or these Terms.
7. Third‑Party Links & Services
The Service may contain links to or integrations with third‑party websites, content, applications, products or services that are not owned or controlled by Amplifier AI (collectively, "Third‑Party Services"). Amplifier AI does not endorse or assume responsibility for any Third‑Party Services, and your use of them is at your own risk and subject to their own terms and policies.
8. Privacy
Our collection, use and disclosure of personal information through the Service is governed by our Privacy Policy. By using the Service you consent to those data practices.
9. Termination
We may suspend or terminate your Account and/or access to the Service at any time, with or without notice, if we believe you have breached these Terms or applicable law, or if your conduct may harm Amplifier AI or any third party. Upon termination, all licences and rights granted to you under these Terms immediately cease. Sections 5–16 survive termination.
10. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express, implied, statutory or otherwise. Amplifier AI expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non‑infringement and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error‑free or secure, that defects will be corrected or that any data or content will be accurate or reliable.
Some jurisdictions do not permit the exclusion of certain warranties, so the above exclusions may not apply to you.
11. Limitation of Liability
To the maximum extent permitted by law:
- (a) Amplifier AI will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; or (iv) unauthorised access, use or alteration of your transmissions or content.
- (b) Amplifier AI's total liability for all claims under these Terms shall not exceed (i) the amount you paid Amplifier AI in the 12 months preceding the event giving rise to the liability, or (ii) one hundred US dollars (US $100) if no such payments have been made.
12. Indemnification
You agree to indemnify, defend and hold harmless Amplifier AI, its directors, officers, employees, agents and licensors from and against any claims, damages, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content or (c) your violation of these Terms or any applicable law.
13. Governing Law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict‑of‑law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer residing in the European Union, you may benefit from mandatory provisions of the law of your country of residence.
14. Dispute Resolution; Arbitration
PLEASE READ THIS SECTION CAREFULLY – IT MAY AFFECT YOUR LEGAL RIGHTS.
Any controversy or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The place of arbitration shall be Wilmington, Delaware, and the language of the arbitration shall be English. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
You and Amplifier AI each waive the right to a jury trial or to participate in any class action or representative proceeding. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual‑property or proprietary rights.
15. Miscellaneous
Severability. If any provision of these Terms is held unenforceable, that provision will be modified to reflect the parties' intention, and all remaining provisions will remain in full force.
Waiver. Failure by Amplifier AI to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer any rights or obligations under these Terms without Amplifier AI's prior written consent. We may freely assign these Terms.
Entire Agreement. These Terms constitute the entire agreement between you and Amplifier AI regarding the Service and supersede all prior or contemporaneous agreements.
Force Majeure. We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, acts of war, terrorism, labour disputes, Internet outages or governmental action.
